1. Company Regulations, Operations Scope & Limitation of Liability

1. Scope & Operations

1.1 Welcome & Acceptance:** Welcome to Fight-Back, your trusted ally in crafting powerful solutions for your business needs. By using our services and products, you agree to these Terms & Conditions ("Terms"). Please take a moment to review them carefully.
1.2 Scope of Terms:** These Terms and Conditions govern the provision of security solutions and services by Fight-Back Security Solutions ("Fight-Back") to its clients.
1.3 Service Offerings:** Fight-Back provides:
Hardware:** Surveillance systems, access control systems, intrusion detection systems, and other physical security equipment.
Software:** Security management software, analytics tools, and other digital security solutions.
Installation & Configuration:** Professional installation and configuration of security systems.
Maintenance & Support:** Ongoing maintenance, support, and troubleshooting services.


1.4 Company Obligations:** Fight-Back will provide high-quality security solutions and services that meet industry standards. We maintain strict confidentiality of all Client data and retain ownership of all intellectual property rights related to our security solutions and services.

2. Warranties & Disclaimers (Own Products)

2.1 Product Warranty:** Fight-Back warrants that its own hardware and software products will be free from defects in materials and workmanship for a designated warranty period from the date of delivery. If a defect is discovered within this warranty period, Fight-Back will, at its option, repair or replace the defective product.
2.2 Disclaimer of Warranties:** Except as expressly provided, Fight-Back disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

3. Limitation of Liability

3.1 General Limitation of Liability:** In no event shall Fight-Back be liable for any indirect, incidental, special, or consequential damages (including but not limited to loss of profits, data, or use) arising out of or in connection with the use or inability to use the security solutions or services, regardless of whether such damages are based on contract, tort, negligence, or any other theory of law.
3.2 Limitation of Damages (AI Detection Units):** In no event shall Fight-Back be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use our AI detection units, regardless of whether such damages were foreseeable.

4. Data Handling, Licensing & IP Rights

4.1 Data Storage & Handling:** Data collected during installation is stored across local and cloud storage with a standard retention period of 3 months. Data release policies apply, and all shared information is non-transferable.
4.2 Infringement:** Duplication of Fight-Back solutions, architectures, or software classifies strictly as IP infringement.
4.3 Software Licensing:** Fight-Back licenses granted to clients are lifetime, transferable, and reusable, subject to Fight-Back's full rights of termination and suspension.

5. Legal & General Provisions

5.1 Governing Law:** These terms are governed by the laws of the Republic of South Africa.
5.2 Dispute Resolution:** All disputes shall be resolved through negotiation, mediation, or binding arbitration conducted via email.
5.3 Severability & Amendments:** Invalid provisions do not affect the validity of remaining provisions. Fight-Back reserves the right to amend these terms.

2. Network Liability, Implementation Limits & Environmental Constraints

1. Third-Party Systems & Hardware Liabilities

1.1 Third-Party Hardware & Software Disclaimer: Fight-Back is not liable for any faults, defects, or performance failures in third-party hardware or software used in conjunction with our security solutions. Such matters remain the sole responsibility of the third-party provider.
1.2 Third-Party Software Corruption: Where software is leased by third-party providers, Fight-Back is explicitly not liable for any system or software corruption.
1.3 Transportation & Export: Fight-Back may offer transportation or export services for third-party hardware or software at an additional charge. Fight-Back accepts no responsibility or liability for any damages or losses occurring during transportation or export.

2. Network Access, Stability & Data Loss

2.1 Third-Party Network Access: Granting third-party network access to the system carries explicit disclaimers of liability. Fight-Back disclaims all liability regarding network performance, network stability, overall network health, data loss, and security breaches resulting from third-party network interactions.

3. Post-Guarantee Environmental & Performance Exclusions

3.1 Post-Guarantee Release of Liability: Following the expiration of the two-week performance guarantee period, Fight-Back shall be fully released from all liability related to the system's ongoing performance, effectiveness, and surrounding environmental impacts. This release of liability strictly includes:
Electrical connections and power grid fluctuations.
Internet speed, bandwidth dropouts, and connectivity issues.
Environmental shifts altering camera parameters.
Human and vehicle detection accuracy limitations influenced by surrounding environmental impacts.
Overall system effectiveness in changing external conditions.


3. System Performance, Marketed Capabilities & Client Maintenance Responsibilities

1. System Performance & Guarantees

1.1 Performance Guarantee: AI Detection Units come with a system functionality performance guarantee valid for two (2) weeks from the invoice date.
1.2 Technical Support Period:** Included standard technical support is strictly limited to seven (7) days following the invoice date stated on the invoice. Any support and maintenance requested after this window is available for an additional fee.
1.3 Capabilities Sold As Marketed: Systems and software capabilities are sold and configured based on their current marketed specs. Continued performance relies on the client maintaining the baseline environmental parameters established at installation.

2. Client Maintenance & Operational Obligations

2.1 Mandatory Client Upkeep (AI Detection Units): To maintain system functionality as marketed, the Client assumes full responsibility for:
Ensuring a stable, continuous, and reliable electrical supply to all units.
Maintaining adequate internet connectivity and necessary bandwidth.
Properly configuring, preserving, and maintaining camera operational parameters.
Regularly testing the security system to verify operational functionality.
Maintaining the physical environment surrounding the cameras (e.g., clearing foliage, cleaning lenses, maintaining line-of-sight).
Refraining from making any unauthorized alterations, modifications, or software/hardware tweaks to the system.


4. Client Cooperation, Strict Payment Terms & Equipment Ownership

1. Client Assistance & Operational Access

1.1 Duty to Cooperate:** The Client agrees to actively assist and cooperate with Fight-Back in any and all areas required to successfully implement, configure, and maintain the system and its operational functions.
1.2 Access Rights:** The Client will provide Fight-Back with unhindered access to its premises, network infrastructure, and local systems for installation, maintenance, and technical support.
1.3 Acceptance:** Acceptance of a quotation or receipt of services constitutes full Client acknowledgement, understanding, and acceptance of these Terms.

2. Payment Terms, Interest & Interest Penalties**

2.1 Payment Obligation: The Client agrees to pay all fees and charges as outlined in the applicable agreement, quotation, or invoice.
2.2 No Withholding of Funds:** Payments are strictly not to be withheld, delayed, offset, or cancelled for any reason once services are rendered or equipment is delivered.
2.3 Late Payment Interest:** Any outstanding or overdue payments are automatically subject to an interest penalty of **5% calculated bi-weekly** until the balance is settled in full.

3. Default, Debt Collection & System Disablement

3.1 Debt Collection: In the event payments remain outstanding for longer than one (1) month, Fight-Back reserves the right to immediately hand the account over to third-party debt collectors for full recovery, with all legal and collection costs billed to the Client.
3.2 System Disablement & Access Revocation:** In the event of unpaid or overdue accounts, Fight-Back reserves the absolute right to remotely or physically turn off, revoke access to, and entirely disable the deployed systems—including network connections, cameras, hardware units, and associated software platforms.

4. Retention of Title (Ownership)

4.1 Equipment Ownership:** Ownership of all hardware, cameras, network components, software assets, and associated physical or digital equipment remains with Fight-Back. Title does **not** pass to the Client, and the Client does not own the equipment, until all final payments and interest charges are received in full.
