1. Introduction & Scope

  • 1.1 Welcome to Fight-Back, your trusted ally in crafting powerful solutions for your business needs. By using our services and products, you agree to these Terms & Conditions ("Terms"). Please take a moment to review them carefully.

  • 1.2 Scope: These Terms and Conditions govern the provision of security solutions and services by Fight-Back Security Solutions ("Fight-back") to its clients.

2. Services Provided

  • 2.1 Service Offerings: The Company offers a range of security solutions, including:

    • 2.2 Hardware: Surveillance systems, access control systems, intrusion detection systems, and other physical security equipment.

    • 2.3 Software: Security management software, analytics tools, and other digital security solutions.

    • 2.4 Installation and Configuration: Professional installation and configuration of security systems.

    • 2.5 Maintenance and Support: Ongoing maintenance, support, and troubleshooting services.

3. Client Obligations

  • 3.1 Payment: The Client agrees to pay all fees and charges as outlined in the applicable agreement or invoice.

  • 3.2 Cooperation: The Client will cooperate with the Company to ensure the successful implementation and operation of the security solutions.

  • 3.3 Access: The Client will provide the Company with necessary access to its premises and systems for the purpose of installing, maintaining, and supporting the security solutions.

  • 3.4 Customer Responsibility (AI Detection Units):

    • Ensuring a stable and reliable electrical supply.

    • Maintaining adequate internet connectivity.

    • Properly configuring and maintaining camera parameters.

    • Regularly testing the system to ensure functionality.

    • Not making unauthorized alterations to the system.

    • Ensuring the environment that the cameras are in are maintained.

4. Company Obligations & Warranties

  • 4.1 Quality: The Company will provide high-quality security solutions and services that meet industry standards.

  • 4.2 Confidentiality: The Company will maintain the confidentiality of all Client data and information.

  • 4.3 Intellectual Property: The Company retains ownership of all intellectual property rights related to its security solutions and services.

  • 10.1 Third-Party Hardware and Software: The Company is not liable for any faults or defects in third-party hardware or software that may be used in conjunction with the Company's security solutions. Such matters are the responsibility of the third-party provider.

  • 10.2 Transportation and Export: The Company may offer transportation or export services for third-party hardware or software at an additional charge. However, the Company is not responsible for any damages or losses that may occur during transportation or export.

  • Warranty and Liability (Own Hardware/Software): The Company warrants that its own hardware and software products will be free from defects in materials and workmanship for a period of [number] days from the date of delivery. If a defect is discovered within the warranty period, the Company will, at its option, repair or replace the defective product.

  • Disclaimer of Warranties: Except as expressly provided in this section, the Company disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.  

5. Limitation of Liability & Disclaimers

  • 5.1 Limitation of Liability (General): In no event shall the Company be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or use, arising out of or in connection with the use or inability to use the security solutions or services, regardless of whether such damages are based on contract, tort, negligence, or any other theory of law.

  • Limitation of Damages (AI Detection Units): In no event shall Fight-Back be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use our AI detection units, regardless of whether such damages were foreseeable.

  • Post-Guarantee Period Liability (AI Detection Systems): Following the expiration of the two-week performance guarantee period, Fight-Back shall be released from all liability related to the system's ongoing performance and effectiveness. This includes:

    • Electrical Connections

    • Internet Speed and Connectivity

    • Camera Parameters

    • Human and Vehicle Detection Accuracy

    • System Effectiveness

    • Grant of Access

    • Disclaimer of Liability (Network Performance, Stability, Health, Data Loss, Security)

    • Third-Party Responsibility

6. Technical Support & Data Handling

  • Defining Technical Support Period: Our Technical support is limited to 7 Days after invoice date stated on Invoice.

  • Understanding How Your Data Is Stored:

    • Data collection during installation.

    • Storage period of 3 months.

    • Data storage (local and cloud).

    • Data release policies.

    • All information shared is non transferable.

  • Duplication of Solutions: Duplication classifies as infringement.

  • Software Licensing: Software is leased by 3rd party providers, Fight-back is not liable for corruption.

  • License Agreement (Fight-Back Licenses): Lifetime, transferable, reusable licenses. Termination/suspension rights.

7. AI Detection Units Performance Guarantee

  • Performance Guarantee Period: Fight-Back guarantees functionality for two (2) weeks from invoice date.

  • Support and Maintenance: Ongoing support available for a fee.

8. Legal & General Provisions

  • 6. Governing Law: Laws of the Republic of South Africa.

  • 7. Dispute Resolution: Negotiation, mediation, binding arbitration (email).

  • 8. Amendments: Company may amend terms.

  • 9. Severability: Invalid provisions do not affect the rest.

  • Acceptance of Quotation: Acceptance of quotation is acceptance of these terms.
